1. Introduction
These User Terms and Conditions govern your access to and use of the platform, including any channel, video, course, media library, digital content, subscription, membership, account, feature, or related service made available through the platform.
The platform is operated by Orione OÜ, a company registered in Estonia under registration number 14749724, through the Zop It brand and its related applications and services.
By creating an account, accessing the platform, subscribing to a publisher channel, viewing content, or using any platform service, you agree to these User Terms and Conditions.
If you do not agree to these terms, you must not access or use the platform.
2. The Role of the Platform
The platform provides digital infrastructure that allows approved publishers, organizations, educators, creators, schools, companies, and other content providers to publish owned, commissioned, or properly licensed content to authorized users.
Unless expressly stated otherwise, content available on a publisher channel is provided by the relevant publisher, not by Orione OÜ.
Orione OÜ provides the platform technology, hosting environment, access-control tools, streaming functionality, account management, payment facilitation where applicable, and related technical services.
The publisher is responsible for the content, description, pricing, subscription offer, educational claims, media quality, and availability of the channel content, subject to the platform's rules and enforcement rights.
3. User Eligibility
You may use the platform only if you are legally able to enter into binding terms and are permitted to access the platform under applicable law.
Where access is provided by an organization, school, employer, client, training provider, or publisher, you must comply with any additional rules, access conditions, enrollment requirements, or acceptable-use policies communicated by that organization or publisher.
You must provide accurate account information and keep your login credentials secure.
4. Account Access and Security
Your account is personal to you unless expressly authorized by the platform or the relevant publisher.
You must not:
- share your login credentials with another person;
- allow unauthorized users to access your account;
- bypass subscription, enrollment, or access restrictions;
- use another person's account without permission;
- create false, misleading, or fraudulent account information;
- attempt to interfere with platform security or access controls.
You are responsible for all activity that occurs through your account unless the activity results from a platform security failure that is not caused by you. You must notify us promptly if you believe your account has been compromised or used without authorization.
5. Publisher Channels and Content Access
Access to content may be provided through:
- paid subscriptions;
- free access;
- private invitation;
- enrollment by an organization;
- membership access;
- client or student access;
- time-limited access;
- course-based or channel-based access.
The exact access terms may vary by publisher, channel, subscription plan, course, or content library. Access to a channel does not transfer ownership of any content to you. You receive only a limited, personal, non-transferable right to view the content through the platform, subject to these terms and any applicable publisher rules.
6. Subscriptions and Payments
Some publisher channels or content libraries may require payment.
Where paid access is offered, the price, billing period, renewal terms, access duration, and applicable taxes or charges should be displayed before purchase. By subscribing, you authorize the applicable payment method to be charged according to the displayed subscription terms.
Unless stated otherwise at checkout:
- subscriptions may renew automatically;
- access may continue until cancelled, expired, suspended, or terminated;
- cancellation stops future renewal but may not automatically create a refund for previous billing periods;
- failure of payment may result in loss of access;
- prices may change with appropriate notice where required.
Payment processing may be handled by third-party payment providers such as Stripe. Your payment may be subject to the payment provider's own terms, security checks, and processing rules.
7. Cancellation
You may cancel a subscription according to the cancellation process made available through the platform or payment provider.
Cancellation will normally prevent future renewal. Unless the checkout terms, publisher policy, applicable law, or platform policy provide otherwise, cancellation does not automatically refund fees already paid for an active subscription period.
For consumer users, mandatory consumer rights may apply depending on your country of residence, the type of digital content or service purchased, and whether access began immediately after purchase. Nothing in these terms limits rights that cannot legally be excluded.
8. Refunds
Refund rules may depend on:
- the publisher's stated refund policy;
- the type of subscription or content purchased;
- whether access to digital content has already started;
- whether the content or service was defective, unavailable, or misdescribed;
- applicable consumer protection laws;
- payment processor rules;
- platform policy.
The platform may, where appropriate, process or facilitate refunds. However, unless Orione OÜ is expressly identified as the seller of the relevant content, the publisher remains responsible for the content offer and related customer commitments. We reserve the right to refuse refund requests that are abusive, fraudulent, inconsistent with the displayed purchase terms, or not required by applicable law.
9. Acceptable Use
You must use the platform lawfully, responsibly, and only for its intended purpose.
You must not:
- copy, download, record, scrape, redistribute, resell, sublicense, or publicly display content unless expressly permitted;
- share paid or private content outside the authorized audience;
- circumvent access controls, subscription checks, streaming protections, watermarking, or security features;
- use screen recording, automated tools, bots, crawlers, or extraction tools to copy content;
- upload, transmit, or distribute malware or harmful code;
- harass, threaten, abuse, impersonate, or defraud any person or organization;
- interfere with platform performance, security, or availability;
- use the platform for unlawful, misleading, harmful, or abusive activity;
- attempt to reverse engineer or exploit the platform;
- use another user's account or payment method without authorization.
Misuse of the platform may result in suspension, cancellation of access, account termination, reporting to the relevant publisher, or other action where appropriate.
10. Intellectual Property
All content made available through the platform is owned by or licensed to the relevant publisher, content owner, or rights holder.
The platform software, interface, design, features, branding, workflows, technology, and related materials are owned by Orione OÜ or its licensors.
You may not copy, reproduce, modify, distribute, sell, lease, sublicense, publish, perform, display, scrape, extract, or create derivative works from any platform content or software except as expressly permitted by these terms or by the relevant rights holder. Your access to content is for authorized viewing only.
11. No Unauthorized Redistribution
You must not redistribute, publish, share, sell, stream, upload elsewhere, or make available any content accessed through the platform without explicit permission from the relevant rights holder.
This restriction applies to:
- videos;
- audio;
- subtitles;
- transcripts;
- documents;
- course materials;
- images;
- screenshots;
- thumbnails;
- downloadable files;
- private channel materials;
- training content;
- any other content accessed through the platform.
Unauthorized redistribution may result in immediate account termination and may expose you to legal claims from the publisher, rights holder, or platform provider.
12. Confidential and Restricted Content
Some channels and content are private, internal, or restricted to a specific audience (for example, employee training, member-only programs, or institutional courses). Where content is made available to you on a confidential or restricted basis, or is marked or reasonably understood to be confidential, you must treat it as confidential.
In relation to such content, you agree that you will not:
- disclose, share, forward, or describe the content, or any non-public information contained in it, to anyone outside the intended audience;
- use the content for any purpose other than the personal, internal, or educational purpose for which access was granted;
- capture, copy, record, or extract the content except where expressly permitted;
- remove or obscure any confidentiality, ownership, or access-restriction notices.
These obligations do not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose by law or a competent authority. Your confidentiality obligations continue even after your access to the content or your account ends, and breach may result in suspension or termination of your account and may expose you to legal claims from the publisher or rights holder.
13. Content Availability
Content availability may change over time.
A publisher may add, modify, replace, restrict, unpublish, or remove content. The platform may also disable or remove content where required for legal, security, operational, copyright, payment, policy, or compliance reasons.
We do not guarantee that specific content will remain available permanently unless expressly stated in the relevant purchase or access terms.
14. Content Quality and Publisher Responsibility
Publisher content may include educational, training, entertainment, professional, technical, or informational material.
Unless expressly stated otherwise:
- the publisher is responsible for the accuracy, completeness, quality, legality, and suitability of its content;
- Orione OÜ does not independently verify all publisher content before publication;
- content should not be treated as professional, legal, medical, financial, safety, engineering, or operational advice unless expressly provided by a qualified publisher and suitable for that purpose;
- users should follow any applicable professional standards, organizational procedures, safety instructions, or legal requirements outside the platform.
Where content is used for training or professional purposes, completion of digital content does not automatically prove competence unless the relevant publisher, employer, institution, or certifying body expressly confirms such recognition.
15. Reporting Content or Abuse
If you believe content on the platform is unlawful, infringing, misleading, abusive, unsafe, or otherwise inappropriate, you may report it through the available reporting tools or by contacting the platform.
Reports may concern, for example:
- copyright infringement;
- privacy violations;
- misleading content;
- illegal content;
- harmful or abusive material;
- unauthorized use of personal data;
- payment or subscription concerns;
- security issues.
We may review reports, notify the relevant publisher, restrict content, remove content, suspend access, preserve records, or take other appropriate action.
16. Account Suspension and Termination
We may suspend, restrict, or terminate your account or access to specific content if we reasonably believe that:
- you breached these terms;
- you misused the platform;
- you shared or redistributed protected content without authorization;
- your payment failed or was disputed;
- your account presents a security risk;
- you attempted to bypass access controls;
- your use violates applicable law;
- your access was withdrawn by the relevant publisher or organization;
- continued access creates legal, operational, financial, security, or reputational risk.
Where appropriate, we may act without prior notice. You may stop using the platform at any time. Cancellation of a subscription or account does not automatically entitle you to a refund unless required by law or stated in the relevant terms.
17. Privacy and Personal Data
Your use of the platform is subject to our Privacy Policy.
We may process personal data such as account information, subscription status, payment-related identifiers, access records, device information, IP address, usage logs, viewing activity, support communications, and other information needed to operate the platform.
Where access is provided through a publisher, organization, school, employer, or client, certain usage information may be made available to that publisher or organization, for example enrollment status, progress, completion records, access activity, or subscription status, where this is necessary for the service and consistent with applicable data protection rules.
You should review the Privacy Policy before using the platform.
18. Third-Party Services
The platform may rely on third-party services for payment processing, hosting, storage, streaming, analytics, authentication, email delivery, customer support, security, or other operational functions.
We are not responsible for failures, interruptions, terms, policies, or actions of third-party providers except where required by applicable law. Your use of some features may also be subject to third-party terms.
19. Service Availability
We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or continuous availability.
The platform may be unavailable or limited due to:
- maintenance;
- updates;
- technical problems;
- internet or hosting failures;
- payment provider issues;
- security incidents;
- force majeure events;
- publisher actions;
- legal or compliance requirements;
- changes to platform features.
We may modify, suspend, discontinue, or limit any feature, channel, service, or access method where necessary for operational, legal, technical, security, or business reasons.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Orione OÜ is not liable for:
- publisher content;
- user misuse of content;
- unauthorized sharing by users;
- decisions made based on publisher content;
- loss of access caused by subscription cancellation, payment failure, publisher removal, or account misuse;
- indirect, incidental, consequential, special, punitive, or business losses;
- loss of profits, revenue, data, goodwill, or business opportunity;
- interruptions or failures caused by third-party providers or events outside our reasonable control.
Nothing in these terms excludes or limits liability where such exclusion or limitation is not permitted by law.
21. User Indemnity
Where you use the platform on behalf of a business, organization, or professional entity, you agree to indemnify and hold harmless Orione OÜ, its officers, employees, contractors, suppliers, and partners from claims, losses, damages, liabilities, costs, and expenses arising from:
- your breach of these terms;
- your misuse of the platform;
- your unauthorized redistribution of content;
- your violation of third-party rights;
- your unlawful conduct;
- your use of another person's account, data, or payment method without authorization.
For consumer users, this clause applies only to the extent permitted by applicable law.
22. Changes to These Terms
We may update these User Terms and Conditions from time to time.
Where changes are material, we may provide notice through the platform, by email, or by other reasonable means.
Your continued use of the platform after the updated terms become effective means that you accept the updated terms. If you do not accept the updated terms, you must stop using the platform and, where applicable, cancel your subscription.
23. Governing Law and Disputes
These terms are governed by the laws of Estonia, unless mandatory consumer protection laws in your country of residence require otherwise.
Where you are a consumer, you may have mandatory rights under the laws of your country of residence that cannot be excluded by these terms.
Where you access the platform on behalf of a business, organization, or professional entity, disputes shall be handled by the competent courts of Estonia, unless otherwise agreed in writing.
